This Non-Disclosure Agreement (“NDA Policy”) outlines the rules and obligations regarding confidential information exchanged between WE ALIENS (“WE ALIENS”, “we”, “our”, or “us”) and its clients, partners, freelancers, vendors, or employees. This policy applies to all software development, digital marketing, SaaS projects, and related services.

By engaging with WE ALIENS, parties agree to comply with this NDA Policy to protect sensitive information, ideas, and data.

1. Purpose

The purpose of this NDA Policy is to:

Protect confidential information shared during projects or collaborations
Safeguard client ideas, software code, marketing strategies, and business data
Define rules for responsible data sharing and communication
Ensure compliance with legal and professional confidentiality standards

2. Definition of Confidential Information

Confidential information includes, but is not limited to:

Software code, applications, SaaS tools, or technical specifications
Marketing strategies, campaign plans, analytics data, and creative materials
Business plans, financial data, and client lists
Proprietary processes, research, or intellectual property
Any information clearly marked or identified as confidential

3. Obligations of Parties

All parties accessing confidential information must:

Keep the information strictly confidential and secure
Use confidential information solely for the purpose of the project or engagement
Limit access to employees or contractors who need the information to perform their work
Not disclose, copy, or distribute confidential information without prior written consent from WE ALIENS or the client
Immediately report any unauthorized disclosure or security breaches

4. Data Sharing Restrictions

Confidential information may only be shared internally on a need-to-know basis.
Sharing with third parties, external vendors, or competitors is strictly prohibited without written authorization.
Digital files, documentation, or project materials containing confidential information must be encrypted and stored securely.

5. Exceptions

Confidential information does not include information that:

Is or becomes publicly available without breach of this NDA
Is lawfully obtained from third parties with no obligation of confidentiality
Is independently developed without reference to the confidential information
Is required to be disclosed by law, regulation, or court order (with prior notice to the other party where possible)

6. Duration of Confidentiality

Confidentiality obligations remain in effect during the engagement and for a period of 3–5 years after project completion, unless otherwise agreed in writing.
Certain highly sensitive information may require longer retention and confidentiality obligations as agreed in individual contracts.

7. Remedies

Unauthorized disclosure or misuse of confidential information may result in termination of engagement, legal action, and claims for damages.
WE ALIENS reserves the right to enforce this NDA Policy through all available legal remedies.
