These Partnership & Vendor Terms (“Terms”) outline the rules, responsibilities, and obligations for freelancers, vendors, contractors, or business partners working with WE ALIENS (“WE ALIENS”, “we”, “our”, or “us”). By providing services, products, or entering into a partnership with WE ALIENS, you agree to abide by these Terms.

1. Purpose

The purpose of these Terms is to:

Define the working relationship between WE ALIENS and its partners, freelancers, and vendors
Clarify responsibilities, payment, confidentiality, and ownership of intellectual property
Ensure smooth collaboration and legal compliance

2. Scope

These Terms apply to all individuals or entities providing:

Freelance services (design, development, marketing, etc.)
Vendor-supplied products or software
Partnership services, collaborations, or joint ventures

3. Payment Terms

Payment for services or products will be made according to the agreed contract or proposal.
Invoices must include detailed descriptions of services or deliverables.
Payment timelines and conditions will be defined in individual agreements.
WE ALIENS reserves the right to withhold payment for incomplete, late, or unsatisfactory work.

4. Confidentiality

Partners, freelancers, and vendors must maintain strict confidentiality of all WE ALIENS business, client, or project information.
Confidential information includes, but is not limited to: client data, marketing strategies, software code, designs, financial information, and internal processes.
Disclosure of confidential information without prior written consent from WE ALIENS is prohibited.
Confidentiality obligations survive the termination of the engagement or partnership.

5. Intellectual Property Ownership

Any work, deliverables, software, designs, or content created for WE ALIENS during the engagement is the exclusive property of WE ALIENS, unless otherwise stated in writing.
Partners, vendors, and freelancers assign all rights, title, and interest in such work to WE ALIENS upon creation or completion.
Use of WE ALIENS intellectual property for other projects without permission is prohibited.

6. Compliance & Legal Requirements

Partners, vendors, and freelancers must comply with applicable laws, regulations, and ethical standards.
WE ALIENS may terminate engagements for violations of laws, breaches of contract, or unethical conduct.
Insurance, licenses, or permits required for services remain the responsibility of the partner or vendor.

7. Termination

WE ALIENS may terminate the partnership or vendor agreement with written notice if:
- Work is incomplete or unsatisfactory
- Confidentiality or IP obligations are violated
- Legal or regulatory violations occur
Upon termination, all deliverables, confidential information, and intellectual property must be returned or deleted.

8. Governing Law

These Terms are governed by the laws of the country in which WE ALIENS operates. Any disputes arising from partnership or vendor relationships will be resolved under this legal jurisdiction.
